IN NO EVENT SHALL PIZZANA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZANA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, PIZZANA'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless Pizzana and its officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceedings in such courts.

13. Dispute Resolution
13.1 Informal Resolution

Either party must first send to the other party a written Notice of Dispute describing the nature and basis of the Dispute and the relief sought. 13.2 Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiation within the thirty (30) day period, either party may elect to have the Dispute finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other party. The arbitration shall be administered by a recognized arbitration body under its then-current rules and procedures.
The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. The arbitrator shall have authority to award any remedy that would be available in a court of law, except that the arbitrator shall have no authority to award punitive damages beyond those permitted by applicable statute.
13.3 Class Action Waiver
YOU AND PIZZANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Pizzana agree otherwise in writing, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration, and each party hereby agrees to submit to the personal jurisdiction of the courts located within the United States for such purposes. A request for interim measures shall not be deemed a waiver of the right to arbitrate.
14. Term and Termination
These Terms of Service shall remain in full force and effect while you use the Website or Services. We reserve the right, in our sole discretion, to:
- Suspend or terminate your access to all or part of the Website or Services, with or without notice, for any reason or no reason, including without limitation any violation of these Terms;

Pizzana shall not be liable for any failure or delay in performance under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, governmental actions, power failures, internet outages, strikes or labor disputes, civil unrest, or any other events that are unforeseeable and beyond our control ("Force Majeure Event").
In the event of a Force Majeure Event, we will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected Services upon written notice to the other party.
